Terms of Service

The Service is designed for landscape professionals and related industry users and is offered exclusively to users located in the United States. You must be at least 16 years old and a US resident to create an account. By using the Service, you represent that you meet these requirements and have the legal authority to enter into these Terms. We do not market to or knowingly provide the Service to users outside the United States.

• You may register using email and password or phone number with SMS verification.
• An access code may be required during signup. Access codes are provided by ProScaper or authorized distributors.
• You are responsible for maintaining the security of your account credentials. You agree to notify us immediately of any unauthorized use.
• You agree to provide accurate and current information. We reserve the right to suspend accounts with false or misleading information.

• Company owners can invite team members and manage shared job sites. Team members can view shared job sites and scans within their company.
• The company owner is responsible for their team's compliance with these Terms.
• Team billing is per-seat. Adding or removing team members adjusts the next billing cycle.

• Users may share referral codes to invite others to ProScaper. Both the referrer and the referred user receive bonus scans when the referred user creates an account.
• Referral rewards are subject to change. Abuse of the referral program (e.g., creating fake accounts) will result in forfeiture of rewards and possible account suspension.

The ProScaper name, logo, design, and all software, text, and AI models comprising the Service are the property of ProScaper or its licensors. You may not copy, modify, distribute, or create derivative works of the Service. Your use of the Service does not grant you ownership of any intellectual property.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROSCAPER IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, PLANT DAMAGE, CROP LOSS, PROPERTY DAMAGE, OR COSTS OF SUBSTITUTE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

You acknowledge that AI identifications and treatment recommendations may be incorrect. ProScaper is not responsible for outcomes resulting from reliance on AI-generated content, including but not limited to plant damage, incorrect pesticide application, or regulatory non-compliance.

You agree to indemnify and hold harmless ProScaper, its officers, employees, and agents from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any law or third-party rights.

• By you: You can delete your account directly from the Account settings page (Danger Zone → Delete Account). Deletion is immediate and permanently removes your profile, scan history, photos, job sites, estimates, invoices, and associated data, and cancels any active Stripe subscription. You may also email privacy@proscaper.com if you cannot access your account. Canceling a subscription without deleting your account is also available from the Account page.
• By us: We may suspend or terminate your account if you violate these Terms, abuse the Service, or engage in fraudulent activity. We will make reasonable efforts to notify you before termination, except in cases of serious violations.

We respect intellectual property rights. If you believe content uploaded to the Service infringes your copyright, send a written notice to our designated DMCA agent at support@proscaper.com including: (a) your physical or electronic signature; (b) identification of the copyrighted work claimed to be infringed; (c) identification of the material to be removed and information reasonably sufficient to locate it; (d) your contact information; (e) a statement that you have a good-faith belief that the use is not authorized; and (f) a statement, under penalty of perjury, that the information is accurate and that you are authorized to act on behalf of the rights holder. We will respond to valid notices in accordance with 17 U.S.C. § 512, which may include removing the material and terminating repeat infringers' accounts. Users who believe material was removed in error may submit a counter-notice to the same address.

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules and Consumer Due Process Protocol, except that either party may seek injunctive relief in court for intellectual property violations or in small-claims court for qualifying disputes. Class action lawsuits and class arbitrations are not permitted.

Right to opt out of arbitration: You may opt out of this arbitration agreement by emailing support@proscaper.com with the subject line "Arbitration Opt-Out" within 30 days of first accepting these Terms. Opting out will not affect any other provision of these Terms.

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms in the app and updating the effective date. Your continued use of the Service after changes constitutes acceptance. If you disagree with updated Terms, you must stop using the Service.
